1. Acceptance of Terms
By requesting, accepting, or using services provided by Fundamental Calibrations Co. LLC ("Fundamental Calibrations," "we," "us"), you agree to these Terms of Service. If you do not agree, do not use our services.
2. Quotes & Scope of Work
All quotes are estimates only and do not constitute a guarantee of final price. Actual cost may vary based on the condition of equipment received, applicable local and state taxes, and the scope of work required. Work is performed only as described on the approved quote. Items not listed on the quote, or not formally quoted back to the customer, are outside the authorized scope of work. Any additional work identified during service will be communicated to the customer and approved prior to proceeding. Quotes are valid for 30 days from the date of issue. Please include your quote when sending in instruments for service.
3. Payment Terms
Payment is due Net 30 from the date of invoice. Calibration certificates and supporting data will be withheld until payment is received in full. If payment is not received within 30 days of the invoice date, a late fee of 1.5% per month will be applied to the outstanding balance. Return of equipment does not waive these rights. A 3% surcharge applies to credit card payments and will be disclosed prior to payment and reflected on the invoice. ACH and wire transfers are accepted. Please reference your Order # and PO # when submitting payment or contacting us with questions.
4. Calibration Certificates & Data
Calibration certificates and supporting measurement data will be released upon receipt of full payment. Fundamental Calibrations retains copies of all calibration records in accordance with applicable quality system requirements.
5. Shipping & Transportation
Quoted prices exclude shipping charges, taxes, and duties unless otherwise stated. Customers are responsible for inbound shipping and for adequately packaging equipment for transit. Fundamental Calibrations is not liable for damage resulting from inadequate customer packaging or for loss or damage occurring while equipment is in the custody of a carrier; risk of loss during transit is governed by the carrier's terms. Return shipping will be arranged by Fundamental Calibrations, with charges reflected on the quote or invoice unless otherwise agreed.
6. Equipment Custody & Release
When equipment is removed from a client's site by Fundamental Calibrations personnel, custody of that equipment transfers to Fundamental Calibrations upon execution of the work order for the sole purpose of performing the agreed scope of work. Customer equipment is serviced, handled, transported, and stored at the customer's risk. Pre-existing damage or conditions documented on the work order at time of pickup are expressly excluded from any claim. Equipment will be returned upon completion of the agreed scope of work. The customer is solely responsible for insuring its own equipment; Fundamental Calibrations does not insure customer equipment and assumes no obligation to do so.
7. Equipment Condition
Fundamental Calibrations is not responsible for equipment failure occurring during the performance of normal calibration procedures, regardless of the age or condition of the equipment. Calibration inherently involves exercising equipment through its operating ranges, and units that fail under normal procedures do so due to their own condition, not the calibration process.
8. Calibration Intervals
Calibration intervals are solely the responsibility of the customer. In accordance with ISO/IEC 17025, Fundamental Calibrations does not recommend or assign calibration intervals unless otherwise directed by the customer's quality system.
9. Consumables
Consumable items (batteries, fuses, seals, and similar) required beyond the normal scope of calibration may be billed in addition to the quoted calibration price.
10. Customer Quality System
The customer is responsible for managing its own quality system. Fundamental Calibrations performs calibration services; decisions regarding compliance, equipment use, and suitability rest with the customer.
11. Limitation of Liability
Fundamental Calibrations is not liable for indirect, incidental, consequential, special, or punitive damages of any kind, including lost profits, downtime, business interruption, or loss of goodwill. Fundamental Calibrations assumes no liability for loss of, damage to, or failure of customer equipment arising from calibration, handling, transport, storage, or any other service activity, except where such loss or damage is caused solely by the gross negligence or willful misconduct of Fundamental Calibrations. In all cases, including gross negligence, Fundamental Calibrations' total aggregate liability for any claim is limited to the amount paid for the specific services giving rise to the claim. Some jurisdictions do not permit certain limitations of liability; in such cases, liability is limited to the maximum extent permitted by law.
12. Confidentiality
Fundamental Calibrations maintains the confidentiality of all customer information, equipment data, and calibration records in accordance with our quality system and applicable law. Calibration certificates, data, and records are released only to the customer or the customer's authorized representatives.
13. Stopwatch Calibration & Preventive Maintenance
Any stopwatch issued by Fundamental Calibrations as part of a promotional offering is entitled to complimentary annual calibration and preventive maintenance for the life of the unit. This applies to Fundamental Calibrations-issued stopwatches only and covers the original unit; it is non-transferable to other equipment. Units may be returned to Fundamental Calibrations for service at any time. Fundamental Calibrations reserves the right to modify or discontinue this program with reasonable notice.
14. Right to Refuse Service
Fundamental Calibrations reserves the right to refuse service at its discretion.
15. Changes to These Terms
We may update these Terms of Service at any time. Changes will be posted to this page. Continued use of our services constitutes acceptance of the revised terms.
16. Governing Law
These terms are governed by the laws of the Commonwealth of Pennsylvania. Any disputes shall be resolved in the courts of Pennsylvania.
